Compliance with Rules and Regulations

(a) The Tenant shall comply with, and cause every Person over whom the Tenant has control to comply with, all Rules and Regulations adopted by the Landlord from time to time for the more efficient and proper operation of the Building and to enhance the security and safety of the Building, the tenants and other occupants of the Building and their respective employees and invitees and members of the public. Any amendments to the Rules and Regulations after the date of this Lease shall become effective upon the earlier of: (i) the date of delivery by the Landlord of a copy of any such amendments to the Tenant; or, (ii) the date the amended Rules and Regulations are posted on the Landlord’s website: www.royalcentre.com, or such other website as the Landlord may designate from time to time.

(b) In addition to the amendments to the Rules and Regulations made by the Landlord after the date of this Lease contemplated in Section 10.12(a), the Landlord may adopt and impose upon the Tenant additional or modified Rules and Regulations which have the intent and effect of restricting or limiting access to or from the Premises or the Building, or any portion thereof, if a Health or Other Emergency arises or, in the sole opinion of the Landlord, may, or is likely to, arise.

(c) The Rules and Regulations may regulate the Tenant’s conduct; provided that, subject to Section 10.12(b), the Rules and Regulations shall not materially interfere with the Tenant’s ability to conduct the Tenant’s business in an efficient and effective manner or with the Tenant’s other rights under this Lease; and provided further that, the Released Persons shall have no liability whatsoever to the Tenant or any other Person with respect thereto.

(d) The Landlord shall have no obligation to: (i) enforce any or all of the Rules and Regulations; or, (ii) enforce any or all of the provisions of any other lease, license or occupancy agreement against any other tenant, licensee or occupant of the Building; or, (iii) adopt and impose upon the Tenant, any other tenant, licensee or occupant of the Building, any additional or modified Rules and Regulations of the nature or kind contemplated by Section (b); and the Released Persons shall have no liability whatsoever to the Tenant or any other Person with respect thereto.

(e) In no event shall any: (i) regulation of the Tenant’s conduct or any interference with the Tenant’s ability to conduct the Tenant’s business caused by, or resulting from, the Rules and Regulations; or, (ii) failure of the Landlord to enforce any or all of the Rules and Regulations or the provisions of any other lease, license or occupancy agreement against any other tenant, licensee or occupant of the Building; or, (iii) action taken by the Landlord pursuant to Section 10.12(b); or, (iv) failure of the Landlord to take any action contemplated by Section 10.12(b); or, (v) decision the Landlord makes in good faith in response to a Health or Other Emergency; or, (vi) action, omission or failure to act by or of the Landlord in connection with or as the result of a Health or Other Emergency; or, (vii) determination by the Landlord that, due to a Health or Other Emergency, the Landlord needs to suspend, reduce or restrict the Building Systems or the services provided or to be provided by the Landlord under this Lease, in whole or in part including, the providing of the janitorial services; or, (viii) the suspension, reduction or restriction of the Building Systems in connection with or as the result of a Health or Other Emergency; constitute a breach of the Landlord’s covenant to provide quiet enjoyment, or a constructive eviction of the Tenant, or a breach of this Lease by the Landlord, or a derogation from the Landlord’s grant, or entitle the Tenant to terminate this Lease, or to entitle the Tenant to any compensation, or entitle the Tenant to any reduction, abatement, refund or repayment of Rent, or in any other way affect this Lease or the Tenant’s obligations hereunder.

(f) The Rules and Regulations shall be deemed to be part of this Lease; provided that, in the event of a conflict between the Rules and Regulations other than those contemplated by Section (b) and any other provisions of this Lease, the other provisions of this Lease shall govern however, whenever this Lease is silent as to a particular issue or matter and the Rules and Regulations speak to or deal with such issue or matter, or wherever the Landlord has adopted and imposed on the Tenant Rules and Regulations of a nature and kind contemplated by Section (b) (or amended the then existing Rules and Regulations so as to give effect to the matters contemplated by Section (b), the Rules and Regulations shall take precedence and govern.
